How to open a business bank account

Prepare ownership, business-model and source-of-funds evidence for a Ukrainian company bank account.

8 min read

A registered Ukrainian company does not automatically receive a bank account. The bank must identify the company, representatives and ultimate beneficial owners, understand the business, and assess expected transactions under financial-monitoring rules.

The strongest applications are those where registry data, ownership evidence, contracts and the founder's explanation tell one consistent story.

Choose the banking setup

List actual needs: UAH payments, foreign currencies, payroll, cards, acquiring, bulk payments, API access or trade finance. Compare tariffs, controls, limits, support and the bank's appetite for the company's countries and industry.

Prepare the company file

  • current Unified State Register data;
  • charter or model-charter confirmation;
  • formation decision and director appointment;
  • ownership structure and beneficial-owner information;
  • passports, tax numbers and addresses for relevant individuals;
  • signing authority and power of attorney;
  • activity licenses or permits.

Foreign corporate founders may need extracts, constitutional documents, ownership chains, translations and legalization or apostille. Ask the bank for its current list before ordering formalities.

Explain the business and money flow

Prepare a short memo covering what the company sells, customer and supplier countries, monthly volumes and currencies, largest expected payments, startup funding and why a Ukrainian account is needed.

Attach a website, pitch deck, contracts, invoices, group chart and source-of-funds evidence where available. A pre-revenue company can say so while explaining the plan clearly.

Beneficial ownership and foreign founders

Banks look through formal ownership to natural persons who ultimately own or control the company. Inconsistency between registry, diagram and documents can stop onboarding. The National Bank requires institutions to address and report certain discrepancies.

Complex structures, trusts, politically exposed persons or sanctions exposure can produce more questions. Answer accurately and never omit an intermediate owner.

Complete identification and controls

The director or authorized person completes the questionnaire, identification and signing. Whether this is fully remote depends on the bank and case. Do not assume registration and bank onboarding have identical remote rules.

Set who can initiate and approve payments, use dual control where appropriate, and keep recovery devices under company control.

Prepare for ongoing monitoring

A bank may later request invoices, contracts, customs records, payroll evidence or explanations for transactions outside the declared profile. Link source documents to payments and update ownership, director, address and activity changes.

Founder transfers should be documented correctly as capital, loans, reimbursements or dividends.

Founder checklist

  1. List currencies, payment types and permissions.
  2. Compare banks against the real transaction profile.
  3. Reconcile registry and beneficial-owner data.
  4. Prepare foreign documents and translations.
  5. Write a one-page business-flow explanation.
  6. Collect contracts and source-of-funds evidence.
  7. Complete identification with the correct representative.
  8. Configure approvals and document retention.
  9. Keep the bank updated as the business changes.

Design banking alongside company registration, not when the first customer is waiting to pay.
